RELEASE, WAIVER AND INDEMNIFICATION
 AGREEMENT

THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS.  READ THE ENTIRE DOCUMENT BEFORE SIGNING OR ELECTRONICALLY ACCEPTING AND AGREEING TO BE BOUND.

ASSUMPTION OF RISKS:  Physical activity, by its very nature, carries with it certain dangers and risks that cannot be eliminated regardless of the great care taken to prevent or minimize harm. JR7 SOCCER, LLC d/b/a JR7 SOCCER (hereafter, “JR7 SOCCER”) operates an Elite Soccer Training & Mentorship program and other supplemental and ancillary soccer training programs and clinics (hereafter collectively, the JR7 SOCCER PROGRAM) that involves a significant level of physical activity.  The JR7 SOCCER PROGRAM is for the sport of soccer and related activities such as strength training, running and other aerobic activities. Some of these activities involve strenuous exertions of strength using various muscle groups, some involve quick movements involving speed and change of direction, some involve potential contact with equipment, fixed objects (e.g. goals), other participants (including participants that are older or younger and who may be larger or smaller in terms of weight and height) and various surfaces types, and others involve sustained physical activity that places stress on the cardiovascular and nervous systems. The specific risks vary from one activity to another, but in each activity the risks range from (1) minor injuries such as cuts, bruises, muscle strains and sprains, to (2) major injuries such as broken or fractured bones, concussion or lost teeth, to (3) catastrophic injuries, such as heart attacks or fractured skull or those that cause disfigurement, loss of mental capacity, loss of sight, speech or hearing, paralysis or death.

In addition, by participating in the JR7 SOCCER PROGRAM, Participant may be exposed, or expose others, to contagious and potentially harmful or deadly disease such as influenza, common cold, chicken pox, meningitis or measles. Participant will also be exposed to risks while traveling (such as in vans when traveling to and from competitions, social events or the airport), exposure to large crowds (such as at a competition) and exposure to risks related to receipt of treatment for any physical or mental conditions.

Participants and Parent/Guardian have read the previous paragraphs and (1) understand the nature of the activities in THE JR7 SOCCER PROGRAM, (2) understand the demands of those activities relative to the physical condition and skill level of Participant and (3) appreciate the types of injuries and illnesses and risks related to treatment for any physical or medical condition which may occur as a result of participation in JR7 SOCCER. Participant and Parent/Guardian hereby assert that participation in JR7 SOCCER and use of their facilities and services is voluntary and that Participant and Parent/Guardian knowingly assume all related risks.

RELEASE AND WAIVER OF CLAIMS:  In consideration of JR7 SOCCER accepting the enrollment of Participant in the JR7 SOCCER PROGRAM and services of JR7 SOCCER, Participant and his/her Parent/Guardian, on behalf of Participant’s heirs, next of kin, personal representatives, and/or assigns, promise not to sue or bring any action against JR7 SOCCER or its affiliated companies, or any of their respective members, directors, officers, coaches, employees, volunteers, sponsors, independent contractors or agents, and release each of them from all liability in connection with all claims for (1) personal injury or illness (including death) and (2) damage to, or loss or theft of, property (including personal items, car and money), arising from Participant’s enrollment in or participation with the JR7 SOCCER PROGRAM. This release shall include claims relating to: receipt of medical care or treatment for any physical or mental condition; use of facilities, services, premises and equipment; exposure to inclement weather; and Participant’s negligence, willful misconduct, or criminal behavior; involvement in accidents.

INDEMNIFICATION:  Participant and Parent/Guardian also agree to indemnify and hold harmless JR7 SOCCER and its official sponsors, official suppliers, affiliated companies and each of their respective members, directors, officers, coaches, employees, volunteers, independent contractors and agents, from all claims, losses, damages and amounts related to legal and other action brought against JR7 SOCCER for damages caused by Participant or arising out of Participant’s conduct and/or the conduct of Participant’s Parent/Guardian and to reimburse JR7 SOCCER for any expenses incurred for claims brought against JR7 SOCCER as a result of Participant’s enrollment in or participation with the JR7 SOCCER PROGRAM, to the extent those damages are attributable to the negligence, gross negligence or willful misconduct of Participant, Participant’s Parent/Guardian and any other person having custody of the Participant.

BINDING ON OTHERS:  This Agreement shall bind the members of my family and my spouse or registered domestic partner, if I am alive, as well as my estate, family, heirs, administrators, personal representatives or assigns if I am deceased and shall be deemed as a “Release, Waiver, Discharge and Covenant” not to sue JR7 SOCCER.

PUBLICITY CONSENT:  Participant and Parent/Guardian consent to all recording, photographing and filming of Participant and all agree that JR7 SOCCER, and its official sponsors and official suppliers can use these recordings and images at any time and in any manner without payment to, or additional consent of Participant or Parent/Guardian.

SEVERABILITY:  Participant and Parent/Guardian further expressly agree that this waiver is intended to be as broad and inclusive as is permitted by the law of the State of Washington and that if any portion thereof is held invalid, it is agreed that the remaining portion of the waiver will continue in full force and effect.

APPLICABLE LAW, FORUM & ATTORNEY’S FEES:  This Agreement is governed by and shall be construed in accordance with the laws of the state of Washington, without any reference to its choice of law rules.  I agree that any dispute arising from this Agreement or in any way associated with JR7 SOCCER shall be brought only in the Superior Court of King County, Washington, or in the U.S. District Court for the Western District of Washington, and I agree to the jurisdiction and venue of those courts for any such dispute.  In any litigation in which the validity or enforceability of this Agreement is contested, I agree that the substantially prevailing party will be entitled to receive all attorney’s fees and costs from the party contesting the validity of this Agreement.

PARENT/GUARDIAN ACKNOWLEDGMENT OF UNDERSTANDING:  I have read this waiver and fully understand its terms. I understand that Participant and I are giving up rights, including, but not limited to, the right to compensation for injury resulting from negligence of JR7 SOCCER. I acknowledge that I am signing or electronically accepting this Agreement freely and voluntarily, and intend my signatures and/or electronic acceptance to be a complete and unconditional release of all liability to the greatest extent allowed by law. Signing and/or electronically accepting this waiver as Parent/Guardian, I acknowledge that I am consenting to Participant’s participation in the JR7 SOCCER PROGRAM and represent to JR7 SOCCER that I understand all risks are expressly assumed by Participant and myself and all related claims are expressly waived in advance, other than claims not covered herein.

PARENTAL RELEASE OF LIABILITY:  In consideration of Participant being permitted to participate in the JR7 SOCCER PROGRAM, I accept and agree to the full contents of this Agreement.

PARENTAL INDEMNIFICATION:  I agree to release, indemnify, defend and hold JR7 SOCCER harmless from all liabilities and future claims presented by my children or any other minor children and/or their parents, who participate, attend or view the JR7 SOCCER PROGRAM, for any injuries, losses or damages to themselves or any family member or registered domestic partner.  This includes any claim of the Participant and any claim arising from the negligence of JR7 SOCCER.

PARENTAL REPRESENTATION OF AUTHORITY:  I agree that I am authorized by all of the parents and/or legal guardians of the Participant to sign this Agreement on behalf of the Participant.  I represent that all parents and/or legal guardians of the child know of and acquiesce to the signing of this Agreement and agree to waive and release any and all claims, suits or related causes of action against JR7 SOCCER and to indemnify JR7 SOCCER to same extent as I am agreeing to do by signing this Agreement and/or electronically accepting this Agreement.

I have fully informed myself of the contents of this Release by reading it before signing it.  By my signature below, or by electronically accepting this Agreement, I understand and agree to the above terms and conditions.
